1. Agreement to Terms

By accessing or using our website, purchasing our products, or using our plugin, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access our services.

These Terms constitute a legally binding agreement between you and ERAPEX (“we,” “us,” “our”) regarding your use of our website and products.

2. Definitions

  • “Company,” “We,” “Us,” “Our” refers to ERAPEX, the owner and operator of this website and the ERAPEX Shipping plugin.
  • “You,” “Your” refers to the user or customer accessing or using our services.
  • “Products” refers to the ERAPEX Shipping plugin, including Free, Pro, and Enterprise versions, and any related software, documentation, and services.
  • “Website” refers to erapex.com and all associated subdomains and pages.
  • “License” refers to the right to use our products under specific terms.
  • “Free Version” refers to the basic version of our plugin available at no cost.
  • “Paid Versions” refers to Pro and Enterprise versions of our plugin available for a fee.

3. Account Registration

To purchase our products or access certain features, you may need to create an account. You are responsible for:

  • Providing accurate, current, and complete information
  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these terms or provide false information.

4. Product Licenses

4.1 Free License

The Free version of ERAPEX Shipping is licensed under the GNU General Public License v2 or later. This means you may:

  • Use the software on unlimited sites for free
  • Modify the software for personal use
  • Redistribute the Free version under the same GPL terms

Limitations of the Free version:

  • Maximum of 10 shipping rules
  • Basic shipping classes only (All Classes/No Class)
  • No priority support
  • No automatic updates

4.2 Pro License

The Pro version requires a paid annual license. With a valid Pro license, you may:

  • Use the software on ONE website per license
  • Receive automatic updates during the license term
  • Access priority email support
  • Use all Pro features (unlimited rules, bulk edit, shipping simulator, specific shipping classes, CSV import/export)

You may NOT:

  • Use one license on multiple websites (use Enterprise for multi-site)
  • Resell or sublicense the software
  • Remove copyright notices without a white label license
  • Use the software in any way that violates applicable laws

4.3 Enterprise License

The Enterprise version is designed for agencies and developers. With a valid Enterprise license, you may:

  • Use the software on UNLIMITED websites
  • Remove ERAPEX branding (white label) for client sites
  • Receive automatic updates during the license term
  • Access dedicated Slack support
  • Use all Pro features plus multi-site management

You may NOT:

  • Resell the software as a standalone product
  • Use the white label feature to remove branding from your own commercial distribution

4.4 License Activation

Paid licenses must be activated on your website to unlock Pro features. Activation requires:

  • A valid license key
  • Internet connectivity to validate the license
  • A unique site URL

Licenses can be deactivated and transferred to another site at any time through your account dashboard.

5. Payments and Refunds

5.1 Pricing

All prices are in United States Dollars (USD). We accept payments via credit card and PayPal through Stripe, our payment processor. Prices are subject to change with 30 days notice.

5.2 Refund Policy

We offer a 14-day money-back guarantee. If you are not satisfied with your purchase for any reason, you may request a full refund within 14 days of the original purchase date.

To request a refund:

  1. Contact us with your order number
  2. Include a brief explanation of your reason for requesting a refund
  3. Refunds will be processed within 5-7 business days

After 14 days, refunds are not available, but you may cancel future renewals.

5.3 Renewals

Annual licenses automatically renew unless cancelled. You will receive email reminders 30, 14, and 7 days before renewal. You can cancel auto-renewal in your account dashboard at any time.

5.4 Chargebacks

If you file a chargeback with your bank, your license will be immediately suspended. Please contact us first to resolve any issues before filing a chargeback.

6. Intellectual Property

The ERAPEX plugin, website, and all associated content, features, and functionality are owned by ERAPEX and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not:

  • Copy, modify, or distribute our products except as expressly permitted by your license
  • Reverse engineer, decompile, or disassemble our products
  • Remove or alter any copyright, trademark, or other proprietary notices
  • Use our trademarks without prior written permission

The ERAPEX name and logo are trademarks of ERAPEX. All other trademarks, service marks, and trade names appearing on our website are the property of their respective owners.

7. User Content

By submitting content to us (such as support tickets, reviews, forum posts, or feature requests), you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute that content to provide and improve our services.

You represent and warrant that:

  • You own or have the necessary rights to the content you submit
  • The content does not infringe any third-party rights
  • The content is not unlawful, obscene, or objectionable

We reserve the right to remove any user content at our sole discretion.

8. Prohibited Uses

You may not use our products or website to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Distribute malware, viruses, or other harmful code
  • Engage in fraudulent, deceptive, or misleading activities
  • Interfere with or disrupt our services
  • Attempt to gain unauthorized access to our systems
  • Use our services for any illegal purpose
  • Harass, abuse, or harm others

We reserve the right to investigate and take appropriate legal action against anyone who violates these provisions.

9. Disclaimer of Warranties

OUR PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • THE PRODUCTS WILL MEET YOUR SPECIFIC REQUIREMENTS
  • THE PRODUCTS WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE PRODUCTS WILL BE ACCURATE OR RELIABLE
  • ANY ERRORS IN THE PRODUCTS WILL BE CORRECTED

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ERAPEX, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR USE OR INABILITY TO USE OUR PRODUCTS
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
  • STATEMENTS OR CONDUCT OF ANY THIRD PARTY
  • ANY OTHER MATTER RELATING TO OUR PRODUCTS

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID US DURING THE TWELVE MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

11. Indemnification

You agree to defend, indemnify, and hold harmless ERAPEX, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of our products
  • Your violation of any third-party rights
  • Any content you submit

12. Termination

We may terminate or suspend your account and access to our products immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination:

  • Your right to use our products will immediately cease
  • Any paid licenses will be terminated without refund (except as provided in our refund policy)
  • You must cease all use of our products

Sections relating to Intellectual Property, Limitation of Liability, and Indemnification shall survive termination.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of Hong Kong China, without regard to its conflict of law provisions.

Any legal suit, action, or proceeding arising out of or related to these Terms or our products shall be instituted exclusively in the courts of Hong Kong. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our products after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using our products.
